I graduated from Princeton in 1968 and spent three years in the United States Marine Corp, serving as an infantry platoon commander in Vietnman from August 1969 to May 1970.  After law school, I clerked for Robert C. Murphy, the Chief Judge of the Maryland Court of Appeals, and then joined Piper & Marbury (now the Baltimore office of DLA Piper) in 1975.  In 1978 I became a Maryland assistant attorney general and Counsel to the Maryland Department of Budget and Fiscal Planning until 1981, when I returned to Piper & Marbury.  In 1982 I returned to the Maryland Attorney General's office as Principal Counsel to the Department of Economic and Community Development. In 1985 I joined the Washington DC office of Kutak Rock and became a partner in 1986 until 1994. In 1994 I was a full time law professor at the University of Tennessee College of Law through December 2021, when I retired to emeritus status.  I plan to continue writing and publishing in the law.  I also have been a part-time consultant for law firms, and from 2014 to the end of 2022 I have been Of Counsel with Morgan Lewis & Bockious in the structured transactions group (and from 2001-2014 in the same group with predecessor law firms).
