Melinda Davis Lux is a partner at Womble Carlyle Sandridge & Rice, where she focuses her practice on complex business deals, including mergers and acquisitions, joint ventures, and financing transactions.

As an M&A lawyer, Ms. Lux advises buyers and sellers in structuring, negotiating, and documenting business acquisitions and divestitures. She enjoys helping clients structure M&A deal terms, including working capital adjustments, earnout arrangements, escrow protection, set-off rights, seller financing, and post-closing non-competition restrictions. Ms. Lux also assists companies with premerger notification filings under the Hart-Scott-Rodino Act (HSR Act).

As a corporate finance lawyer, she helps companies with asset-based lending transactions and refinancing. Ms. Lux also advises public companies, directors, and stockholders with respect to securities law and corporate governance matters, including SEC reporting requirements.
